Terms of Service

By accessing or using the BrokerStackplatform (“Platform”), you agree to be bound by these Terms of Service (“Terms”) with Eastlink LLC, the company that develops and operates the Platform. If you are using the Platform on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

If you do not agree to these Terms, you may not use the Platform.

Eastlink LLC provides the BrokerStack platform, an insurance quote-comparison tool that assists licensed insurance brokers with:

• Organising and storing client quote documents
• Extracting structured data from insurance documents using AI
• Producing normalized, side-by-side comparisons of coverage, limits, deductibles, and premiums
• Generating branded comparison deliverables with source provenance

The Platform is a comparison preparation tool. It does not constitute insurance advice, does not place coverage, and does not establish any relationship between BrokerStack and any insured party.

You are responsible for:

• Ensuring you have obtained appropriate consent from your clients before uploading their information to the Platform
• Reviewing all AI-extracted data and AI-generated comparisons before submitting any document to a carrier, client, or other third party
• Maintaining the confidentiality of your login credentials and promptly notifying us of any unauthorised access
• Using the Platform in compliance with all applicable laws, regulations, and your own professional licensing obligations
• Not uploading documents containing data you are not authorised to process

READ THIS SECTION CAREFULLY. BY USING THE PLATFORM YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING WITHOUT RESERVATION.

4.1 — AI outputs are non-deterministic

The Platform uses large language models (LLMs) to extract and structure data from uploaded documents. LLMs are probabilistic systems. They do not operate like a database lookup or a deterministic algorithm. The same document processed twice may produce different outputs. A value that is correctly extracted in one session may be incorrectly extracted in another. High confidence scores do not guarantee accuracy. This is a fundamental property of the technology, not a defect in the Platform.

4.2 — Every AI output must be reviewed by a qualified human before use

No AI-extracted value, AI-generated comparison, or AI-produced output from the Platform may be submitted to a carrier, provided to a client, filed with a regulator, or otherwise acted upon without first being reviewed, verified, and approved by a licensed insurance professional. This is not a recommendation — it is a condition of use.

The Platform includes a mandatory review and approval workflow for this purpose. Bypassing, skipping, or otherwise circumventing that workflow does not relieve you of this obligation and does not transfer any liability to Eastlink LLC.

4.3 — Eastlink LLC is not responsible for unverified AI output

Eastlink LLCexpressly disclaims all liability for any loss, damage, regulatory action, E&O claim, coverage dispute, or other consequence arising from AI-extracted data or AI-generated comparisons that were not independently verified by a human before use. This disclaimer applies regardless of whether the Platform displayed a confidence score, a green status indicator, an “approved” badge, or any other visual signal.

The Platform's audit trail, source provenance, and approval tools are provided to assist your review process — not to substitute for it.

4.4 — Known limitations of AI extraction

You acknowledge that AI extraction is known to produce errors in, among other scenarios:

• Documents with poor scan quality, unusual layouts, or handwritten fields
• Fields containing percentages, ranges, or non-standard formatting (e.g. deductibles expressed as “5% of value” or “$500 per occurrence”)
• Documents containing multiple values for the same field (e.g. multiple premium figures)
• Ambiguous or abbreviated coverage descriptions
• Multi-page documents where context spans page boundaries

You are responsible for being aware of these limitations and applying heightened scrutiny in these scenarios.

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all client data and documents you upload to the Platform. By uploading data, you grant BrokerStack a limited licence to process that data solely for the purpose of providing the Platform services to you.

We will not use your client data to train AI models, sell it to third parties, or use it for any purpose other than providing the services described in these Terms.

You expressly acknowledge and agree that:

• You bear sole legal responsibility for every document, form, filing, or submission that is transmitted to a carrier, regulator, client, or any other party using data prepared or assisted by the Platform. This responsibility exists regardless of whether that data was generated, suggested, or populated by AI.
• Your professional obligations are not modified by your use of the Platform. Your duties as a licensed insurance professional — including duties of accuracy, disclosure, and care owed to your clients and counterparties — apply in full to all work product prepared using the Platform.
• You accept responsibility for all consequencesof submitting unverified AI output, including but not limited to: coverage disputes, policy voidance, regulatory sanctions, E&O claims, client losses, and carrier disputes.
• Eastlink LLC is a software tool provider, not a participant in your insurance transactions. We are not a party to any submission, placement, or coverage decision you make using the Platform.

You agree to indemnify, defend, and hold harmless Eastlink LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Platform or any output produced by the Platform
• Any submission, filing, or document you transmit to any third party using data prepared with the Platform's assistance
• Any AI-extracted data you use without completing independent human verification
• Your violation of these Terms or any applicable law or regulation
• Any claim by your clients, carriers, or regulators arising from work prepared using the Platform

To the maximum extent permitted by applicable law:

• Eastlink LLC expressly disclaims all liability for any errors in AI-extracted or AI-generated data, whether or not the Platform displayed any confidence indicator, status badge, or approval signal.
• Eastlink LLCis not liable for any E&O claims, regulatory actions, coverage disputes, or client losses arising from work prepared using the Platform.
• Eastlink LLC provides no warranty, express or implied, as to the accuracy, completeness, or fitness for purpose of any AI output produced by the Platform.
• In no event shall Eastlink LLC's total aggregate liability for any claim arising from or related to the Platform exceed the fees paid by you in the three months preceding the event giving rise to the claim.
• Eastlink LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, even if advised of the possibility of such damages.

The Platform, including its software, design, and documentation, is the property of Eastlink LLC and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Platform for your internal business purposes.

You may not copy, modify, distribute, reverse engineer, or create derivative works from the Platform without our prior written consent.

Either party may terminate access to the Platform at any time. Upon termination, your right to access the Platform ceases immediately.

Following termination, your data will be retained in accordance with our Data Retention Policy and deleted on request. You may request a copy of your data prior to deletion.

We may update these Terms from time to time. Material changes will be communicated via the Platform or by email with reasonable notice. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which Eastlink LLC operates, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
